Terms of Service

1. Scope and Acceptance

These Terms of Service (the "Terms") govern your access to and use of the public marketing and informational website located at tray-verify.com (the "Site"), operated by TrayVerify ("TrayVerify," "we," "us," or "our"). By accessing, browsing, or otherwise using the Site, you agree to be bound by these Terms. If you do not agree, you must not access or use the Site.

These Terms apply only to use of the Site for marketing and informational purposes. All use of the TrayVerify product, platform, services, APIs, hardware, kitchen displays, administrator consoles, and any related software or data processing (collectively, the "Service") is governed by a separate written subscription, evaluation, pilot, services, or master agreement executed between TrayVerify and the customer or authorized user (a "Customer Agreement"). In the event of any conflict between these Terms and a Customer Agreement, the Customer Agreement controls with respect to the Service. These Terms do not grant any right to access or use the Service.

We may revise these Terms at any time by posting an updated version on the Site. The updated Terms take effect immediately upon posting, and your continued use of the Site after posting constitutes your acceptance of the revised Terms. You should review these Terms periodically.

2. Eligibility

You represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you access the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to both you individually and that organization. The Site is intended for users located in the United States and is directed to business audiences. You may not use the Site if you are located in, or are a resident or national of, any country or territory subject to comprehensive U.S. trade sanctions, or if you are listed on any U.S. government list of restricted or prohibited parties.

3. Permitted Use and Restrictions

Subject to these Terms, TrayVerify grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Site and its publicly available content solely for your personal informational or internal business evaluation purposes. All other rights are reserved.

You agree not to, and not to permit or enable any third party to: (a) copy, reproduce, modify, create derivative works of, publicly display, publicly perform, distribute, or commercially exploit the Site or any content on the Site, except as expressly permitted; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, or algorithms from any software made available through the Site; (c) use any robot, spider, scraper, crawler, data-mining tool, or other automated means to access, index, or extract content from the Site, except for generally available search engine indexing consistent with our robots.txt; (d) circumvent, disable, or otherwise interfere with any security, authentication, rate-limiting, or access-control feature of the Site; (e) probe, scan, or test the vulnerability of the Site or any related system or network, or breach or attempt to breach any security or authentication measure; (f) interfere with, disrupt, overload, or impair the Site or the servers or networks connected to the Site, including through denial-of-service attacks, malware, or similar means; (g) use the Site to transmit, store, or distribute any unlawful, harassing, defamatory, obscene, infringing, or otherwise objectionable content, or any material containing viruses, worms, trojan horses, or other harmful code; (h) use the Site for any competitive benchmarking, to develop a competing product, or to train, fine-tune, or evaluate any machine learning, artificial intelligence, or large language model; (i) remove, obscure, or alter any proprietary notice, trademark, or legal disclaimer displayed on or through the Site; or (j) use the Site in violation of any applicable law, regulation, or third-party right. We reserve the right, in our sole discretion and without notice or liability, to suspend, limit, or terminate your access to the Site for any reason, including any actual or suspected violation of these Terms.

4. Intellectual Property

The Site and all content made available on the Site, including text, graphics, logos, icons, images, videos, audio, data compilations, software, code, designs, layouts, and the selection and arrangement thereof (collectively, the "Site Content"), are owned by TrayVerify or its licensors and are protected by United States and international copyright, trademark, trade dress, patent, trade secret, and other intellectual property or proprietary rights laws. "TrayVerify," the TrayVerify logo, and all related names, marks, and slogans are trademarks of TrayVerify. You may not use any of our trademarks, trade names, or trade dress without our prior written consent. Nothing in these Terms transfers to you any ownership interest in the Site Content or in any intellectual property right of TrayVerify or its licensors, and no license or right is granted to you other than the limited access right expressly described in Section 3.

5. Submissions and Inquiries

If you submit information through the Site — for example, by completing a contact form, requesting a demo, sending us an email, or providing feedback or suggestions (collectively, "Submissions") — you represent and warrant that (a) you have the right to submit the information, (b) the information is accurate and not misleading, and (c) the information does not violate any third-party right or any law. You grant TrayVerify a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and otherwise exploit any Submission for any lawful business purpose, including improving our products and services, without any obligation of attribution, compensation, confidentiality, or accounting to you. We are not obligated to review, respond to, retain, or act on any Submission. Do not submit any confidential, sensitive, personal health, or regulated information through the Site; any product data, photos, or operational information should only be shared under a Customer Agreement.

6. Third-Party Content and Links

The Site may contain links to, or embed content from, third-party websites, services, or resources that are not owned or controlled by TrayVerify. We provide these links and embeds as a convenience only, and their inclusion does not imply endorsement or affiliation. We have no control over, and assume no responsibility for, the content, privacy practices, or availability of any third-party site or service. Your use of any third-party site or service is at your own risk and subject to the terms and policies of that third party.

7. Privacy

Our collection and use of information through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you acknowledge that you have read the Privacy Policy.

8. Disclaimer of Warranties

THE SITE AND ALL SITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRAYVERIFY AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, TRAYVERIFY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SITE OR ANY SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY INFORMATION ON THE SITE IS PROVIDED FOR GENERAL INFORMATIONAL AND MARKETING PURPOSES ONLY AND DOES NOT CONSTITUTE MEDICAL, CLINICAL, DIETETIC, NUTRITIONAL, LEGAL, REGULATORY, OR PROFESSIONAL ADVICE, AND MUST NOT BE RELIED UPON AS SUCH. YOU ASSUME ALL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SITE AND ANY RELIANCE ON SITE CONTENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU; IN THAT CASE, SUCH WARRANTIES ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TRAYVERIFY OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR ANY SITE CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT TRAYVERIFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF TRAYVERIFY AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00). THE FOREGOING LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. YOU ACKNOWLEDGE THAT THE SITE IS PROVIDED WITHOUT CHARGE AND THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND TRAYVERIFY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless TrayVerify and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any law or any right of a third party; or (d) any Submission you provide. TrayVerify reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claim.

11. Governing Law and Venue

These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site, are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. You and TrayVerify agree that the exclusive jurisdiction and venue for any action, suit, or proceeding arising out of or relating to these Terms or the Site will be the state and federal courts located in Montgomery County, Maryland, and each party irrevocably consents to the personal jurisdiction of such courts and waives any objection to venue in such courts, including any objection based on forum non conveniens.

12. Dispute Resolution; Waiver of Class Actions; Limitations Period

Before initiating any formal legal proceeding, you agree to first contact us at team@tray-verify.com with a written description of the dispute and to attempt in good faith to resolve the matter informally for a period of at least thirty (30) days. You and TrayVerify each agree that any dispute will be resolved only on an individual basis, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. To the maximum extent permitted by applicable law, any cause of action or claim arising out of or relating to these Terms or the Site must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

13. Termination

We may suspend, limit, or terminate your access to the Site at any time, for any reason or no reason, with or without notice, and without liability to you. Upon termination, all rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination (including Sections 4, 5, and 8 through 15) will survive.

14. Miscellaneous

These Terms, together with the Privacy Policy and any other policies referenced on the Site, constitute the entire agreement between you and TrayVerify concerning the Site and supersede any prior or contemporaneous agreements, communications, or understandings concerning the subject matter. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. You may not assign or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without our prior written consent, and any attempted assignment in violation of this Section is void. TrayVerify may assign these Terms at any time without notice or consent. These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship between you and TrayVerify. Nothing in these Terms confers any right or remedy on any third party. Headings are for convenience only and do not affect interpretation.
